TERMS

The rules for contracting, sessions, delivery, incidents, and taking part in the yearbook.

1. Provider and scope

These terms govern the services contracted with Santa Orla, a trade name operated by Fernando Bagué, a self-employed professional with Tax ID (NIF) 47658356X, business address at Calle Pallars 74, 2nd floor 1st door, door A, 08018 Barcelona, email santa@santaorla.com, and phone 657 01 42 52. They apply to both the in-person and online modes and are supplemented by the description, price, and benefits of the pack shown before confirming the booking or payment.

2. Modes

A. In-person mode

The student books a date and time with no upfront payment. The full price is paid on the day of the session. Santa Orla takes the individual and group photographs, allows the selection included in the pack, and delivers the included digital and printed products during the session, unless a different timeframe is clearly stated before contracting.

B. Online mode

The student pays online and uploads their own photograph. Santa Orla checks that it is technically suitable, and the student confirms the chosen image. A personalised photomontage is then created with the corresponding shirt, tie, gown, and sash. The student receives a proof, may request one included round of changes, and must approve the result before printing. The pack includes the photomontage, the yearbook page, and ID and wallet-size photographs in the digital and printed formats stated in the offer.

3. Packs, price, and taxes

The features and total price of each pack, including applicable VAT, are shown before contracting. Individual shipping costs, when that option is chosen, will be itemised before payment. Offers for classes, class representatives, or early activations are governed by the specific terms communicated in each campaign, which will only prevail where they improve or clarify these terms.

4. Electronic contracting

Before payment, the site shows the essential features of the pack, the total price, the delivery method, restrictions, the cancellation policy, and the applicable withdrawal terms. Users can review and correct their data. The final button clearly indicates that the order involves payment. After contracting, the user will receive a confirmation on a durable medium with a summary and the accepted version of the terms.

Contracting may take place in Catalan, Spanish, or English. Santa Orla will keep evidence of the transaction, acceptance, and contractual version for the legal period and will allow a copy to be requested by writing to the contact email.

5. Obligations regarding uploaded photographs

Anyone who uploads a photograph declares that they appear in it, that they have authorisation to use it, and that it does not infringe third-party rights. Unlawful, offensive, deceptively manipulated, or technically unsuitable images will not be accepted. If the image is not suitable, Santa Orla will request another one before starting personalisation.

6. Selection, proof, and approval

In the in-person mode, the student will select the photographs included in their pack. In the online mode, they will approve the original image and, afterwards, the final photomontage. One round of changes to the photomontage is included. Approval authorises printing and composition with the confirmed data, without prejudice to the right to claim for production defects, errors attributable to Santa Orla, or lack of conformity.

7. Collective yearbook

The yearbook will include the photograph, first name, surname, and degree confirmed by each participant. It will close on the date communicated to the class. After closing, adding or changing entries may not be possible, or may involve additional costs, if production has already started. Before closing, a reasonable mechanism will be provided to review the data.

If the class does not meet the conditions needed to produce the yearbook, Santa Orla will deliver the photographs and other products that can be fulfilled and will refund the portion of the price attributable to the yearbook.

8. Delivery

Products from the in-person session will be delivered on the spot, under the pack's terms. The yearbook and online products will be delivered afterwards through one or more methods agreed with each class: pickup at a communicated location, delivery to the class representative for distribution, or individual shipping at an additional cost. The estimated timeframe or date and, where applicable, the shipping cost will be stated before contracting.

Delivery to the class representative will only be used when the student has chosen or accepted that method. For individual shipping, the risk of loss or damage is governed by consumer regulations, and Santa Orla will handle any incidents with the carrier.

9. Changes and cancellations

  • In-person booking more than 24 hours in advance: the student may cancel or reschedule at no cost. Since this mode is booked without upfront payment, there is no amount to refund.
  • In-person booking less than 24 hours in advance: rescheduling at no cost will be allowed, subject to availability and the yearbook's closing deadlines.
  • No-show at the in-person session: a new date may be requested with no penalty, subject to availability and the yearbook's closing deadlines.
  • Online order: cancellation and a refund may be requested before Santa Orla begins the personalisation work. Once that work has started, section 10 on withdrawal and personalised products will apply.
  • Cancellation by Santa Orla: an alternative date will be offered. If the service ultimately cannot be provided, or the alternative is not reasonable, the amounts corresponding to the part not provided will be refunded.

The above rules do not limit any rights arising from force majeure, breach by Santa Orla, or legally protected circumstances.

As no amount is charged upfront in the in-person mode, there is no deposit to withhold in the event of a repeated no-show; for this reason, no financial penalty applies to no-shows in the in-person mode.

10. Right of withdrawal

Where there is a distance contract, consumers generally have 14 calendar days to withdraw, unless a legal exception applies. This can be communicated through an unequivocal statement sent to the contact email or using the form included at the end of these terms.

Services started during the withdrawal period

If the student expressly requests that a service start before the withdrawal period ends and then withdraws before it ends, a proportional payment for the part already performed may apply. The right to withdraw from a service is lost once it has been fully performed, provided there was prior express consent and awareness of that consequence.

Personalised products

Withdrawal does not apply to goods made to the student's specifications or clearly personalised once personalisation has started, such as photomontages, prints, and yearbook pages produced with their image, selection, name, degree, or specific attire. Before starting that stage, Santa Orla will obtain clear confirmation of the chosen image and specifications.

Digital content

When digital content not supplied on a tangible medium is provided before the withdrawal period ends, prior consent to start the supply and acknowledgement of the resulting loss of the right of withdrawal will be requested, as required by law. These acceptances will not be pre-ticked and will be recorded.

Checkbox for the online mode: "I request that Santa Orla begin creating the personalised photomontage before the withdrawal period ends. I confirm the chosen photograph and specifications and understand that, once production of the personalised elements has started, I will not be able to withdraw from them; and that once the service has been fully performed, or the digital supply begins under the required legal conditions, I will lose the corresponding right of withdrawal."

11. Conformity, errors, and incidents

If there is a defect, production error, inaccessible file, damage, loss, or failure attributable to Santa Orla, the student must report it as soon as reasonably possible. Santa Orla will offer bringing the item into conformity, repetition, a new session, replacement, a price reduction, or a refund, as appropriate to the nature of the issue and the consumer's legal rights. No visual approval excludes claims for errors by Santa Orla or defects not noticeable at the proof stage.

12. Use of the photographs

The price includes a personal-use licence for the delivered photographs. Santa Orla may only use identifiable images for promotional purposes when specific, separate, and optional authorisation exists. Group photos may be provided to the other people who appear in them for personal use.

13. Support and complaints

Questions and complaints can be sent to santa@santaorla.com, made by phone at 657 01 42 52, or through the website's WhatsApp contact button. Santa Orla will acknowledge receipt and respond within a reasonable time. Official complaint forms are available. Consumers may also turn to public consumer authorities or a competent alternative dispute resolution body. Santa Orla will state expressly whether it is a member of a consumer arbitration scheme.

14. Governing law and jurisdiction

Contracting is governed by applicable Spanish and European law. Any territorial submission is without prejudice to the mandatory jurisdiction corresponding to the consumer's domicile.
